1 INTRODUCTION

1.1 Agreement

Welcome to YouElite (“YouElite,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, mobile applications, software-as-a-service (SaaS) platform, and any related services or content (collectively, the “Services”). By creating an account or otherwise using our Services, you (“You,” “User,” or “End User”) acknowledge that you have read, understand, and agree to be bound by these Terms and all other policies referenced herein, including our [Privacy Policy], End User Conduct & Content Policy, Data Processing Addendum, or other supplementary agreements that may apply.

 

1.2 Acceptance

 

If you do not agree with any provision in these Terms, you must immediately cease using the Services.

These Terms are legally binding to the fullest extent permitted by applicable law. Certain jurisdictions—especially within the European Union—have non-waivable consumer protection laws that may override parts of these Terms; where such laws apply, those provisions will be enforced only to the maximum extent permitted.

1.3 Age Requirement

The Services are not directed to children under thirteen (13) years of age. By using the Services, you represent that you are at least 13 years of age. If you are under 18 (or under the age of majority in your jurisdiction), you may need a parent or legal guardian’s consent to use the Services. YouElite disclaims all liability arising from use of the Services by individuals who do not meet the age requirements unless otherwise required by applicable law.

 

1.4 Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice (e.g., through our Services, by email, or by updating the “Last Updated” date above). Your continued use of the Services after any such modifications indicates your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services immediately.

2 ACCOUNT REGISTRATION & ACCESS

2.1 Account Creation

To access certain features, you may need to create a user account by providing accurate and complete information (e.g., full name, valid email address). You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account;
  • Immediately notifying YouElite if you suspect any unauthorized access or use of your account.

YouElite reserves the right to deny, suspend, or terminate any account if, in our discretion, we believe you have violated these Terms or applicable law.

 

2.2 Free vs. Paid Subscriptions

YouElite may offer both free (no-cost) and paid (subscription-based) Services. By selecting a paid plan, you agree to the fees and billing terms set forth in Section 5 of these Terms. YouElite disclaims all warranties and service level guarantees for free-tier users, offering those services strictly on an “as is” and “as available” basis.

 

2.3 Restrictions and Acceptable Use

You agree not to use the Services in ways that:

  • Violate any applicable laws, including but not limited to data protection, intellectual property, and privacy laws;
  • Infringe or misappropriate the intellectual property rights of YouElite or third parties;
  • Disseminate any viruses, malware, or other harmful code;
  • Engage in spamming, phishing, or fraudulent activities;
  • Impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;
  • Violate our End User Conduct & Content Policy or any other policy referenced herein.

If YouElite determines, in its sole discretion, that you have violated these Terms or any policy, we may terminate or suspend your access to the Services without prior notice.

 

2.4 Equipment and Connectivity

You are solely responsible for obtaining and maintaining any equipment, hardware, or internet connection necessary to access and use the Services. YouElite is not responsible for any data charges, network issues, or compatibility problems you may experience.

 

2.5 Support and Maintenance

Paid-tier users may receive priority or enhanced support, subject to the particular subscription plan’s details.

Free-tier users acknowledge and agree that support may be limited or unavailable, and that YouElite can modify or discontinue any free features at any time without liability.

3 INTELLECTUAL PROPERTY & USER CONTENT

3.1 Ownership of Services

All materials and intellectual property rights in and to the Services—such as software, graphics, text, logos, trademarks, and service marks—are owned or licensed by YouElite. By using the Services, you receive a non-exclusive, revocable, non-transferable license to access and use the Services solely for your personal, non-commercial purposes and only as permitted under these Terms. No other rights are granted or implied.

 

3.2 User Content

Definition: “User Content” means any data, text, files, images, videos, or other materials you upload, post, or otherwise make available via the Services.

License: By submitting User Content, you grant YouElite a worldwide, non-exclusive, royalty-free, transferable license to use, store, display, reproduce, and distribute your User Content solely as needed to provide and improve the Services.

Responsibility: You represent that you have all necessary rights to the User Content, and that your User Content does not violate these Terms or any applicable law. YouElite disclaims liability for User Content and does not guarantee that it will be error-free or lawful.

Removal: YouElite may remove or disable access to any User Content without prior notice if we determine, in our sole discretion, that it is inappropriate, illegal, or in violation of these Terms.

3.3 Feedback

Any suggestions, comments, or feedback you provide regarding the Services (“Feedback”) may be used by YouElite for any purpose without obligation or compensation to you. You hereby grant us a perpetual, irrevocable, worldwide, royalty-free license to incorporate and use your Feedback.

 

4 DATA PROTECTION & PRIVACY

4.1 Privacy Policy

Your use of the Services is subject to our [Privacy Policy], which explains how we collect, use, and share your personal information. By using the Services, you agree that we can process your data in accordance with our Privacy Policy.

 

4.2 Data Security

YouElite implements commercially reasonable administrative, technical, and physical safeguards to help protect your personal data. However, no system or transmission of data is entirely secure. YouElite disclaims liability for unauthorized access or data breaches except to the extent caused by our gross negligence or willful misconduct, and only then to the extent allowed by law.

 

4.3 International Transfer & GDPR Compliance

If you are located in the European Economic Area (EEA), United Kingdom (UK), or other regions with laws governing data collection and use that may differ from U.S. law, please note that we may transfer, process, and store your information in the United States or other jurisdictions.

Where required by applicable law (e.g., the General Data Protection Regulation “GDPR”), we will ensure that appropriate safeguards are in place for such data transfers.

4.4 Usage Data

We may collect and analyze anonymized or aggregated data regarding how Users interact with the Services (“Usage Data”) for our legitimate business interests, including improving product features, identifying usage trends, and marketing. Usage Data does not identify you personally. We reserve the right to use this data without restriction.

 

5 FEES, PAYMENTS & TAXES

5.1 Subscription Charges

For paid subscriptions, you agree to pay the subscription fees (“Fees”) as outlined when you sign up. All Fees are typically non-refundable unless otherwise specified in writing or where required by applicable consumer protection laws (e.g., certain EU directives on refund rights).

 

5.2 Billing and Payment

You must provide a valid payment method (e.g., credit card) and keep this information updated.

If payment cannot be processed (expired card, insufficient funds, etc.), YouElite may suspend or terminate your access to the paid Services immediately.

You are responsible for any bank or payment provider fees and any related charges that arise from your payment method.

5.3 Taxes

Unless otherwise stated, Fees do not include any taxes, levies, duties, or similar governmental assessments. You are responsible for paying any taxes imposed on your subscription, other than those based on YouElite’s income.

 

5.4 Free Trials & Promotions

YouElite may offer free trials or promotional offers at our sole discretion. We reserve the right to modify or discontinue such offers without notice and without liability.

6 TERM, TERMINATION & SUSPENSION

6.1 Term

These Terms remain in effect for as long as you use the Services or maintain an account with us. Paid subscription terms are typically month-to-month or year-to-year, as indicated during sign-up, and will automatically renew unless you cancel in accordance with the subscription plan’s cancellation policy.

 

6.2 Termination by You

You may stop using the Services at any time. If you wish to delete your account, you can do so via your account settings or by contacting [support@youelite.net]. If you are on a paid subscription and terminate before the end of your billing cycle, no refund will be provided unless mandated by applicable law or specified otherwise in your subscription terms.

 

6.3 Termination or Suspension by YouElite

YouElite may terminate or suspend your access to the Services, with or without notice, if we reasonably believe:

  • You have violated these Terms or any policy referenced herein;
  • Your continued use poses a security risk or may subject YouElite or others to liability;
  • You fail to pay any Fees or charges when due.

6.4 Effect of Termination

Upon any termination:

  • Your right to access and use the Services immediately ceases;
  • YouElite may delete or retain (as required by law or internal policies) any of your User Content;

YouElite may provide you with a 30-day window (for paid accounts, unless otherwise required by law) to retrieve certain data, after which it may be irretrievably deleted.

7 WARRANTIES AND DISCLAIMERS

7.1 Services Provided “As Is”

To the fullest extent permitted by applicable law, the Services (including both free and paid tiers) are provided “as is” and “as available”, without any warranty of any kind, whether express, implied, or statutory. YouElite specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranties arising from a course of dealing or usage of trade.

 

7.2 No Guarantee of Error-Free or Uninterrupted Service

YouElite does not warrant that:

  • The Services will be uninterrupted, secure, or error-free;
  • Any data loss, bugs, or vulnerabilities will be detected or corrected;
  • The Services will meet your requirements or expectations.

7.3 Jurisdictional Limitations

Some jurisdictions do not allow the disclaimer of certain warranties. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

 

8 INDEMNIFICATION

8.1 Indemnity by User

To the extent allowed by law, you agree to defend, indemnify, and hold harmless YouElite, its officers, directors, employees, contractors, and agents from and against all claims, damages, obligations, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use or misuse of the Services;
  • Your breach of these Terms or any other policy;
  • Your violation of any third-party rights, including intellectual property or privacy rights;
  • Your User Content or the content you share through the Services.

9 LIMITATION OF LIABILITY

9.1 Exclusion of Certain Damages

Under no circumstances (except to the extent prohibited by law) shall YouElite, its officers, directors, employees, contractors, or agents be liable for:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of data, lost profits, lost revenue, loss of goodwill, or business interruption;

Any claims arising out of or in connection with these Terms, the Services, or your inability to use the Services, even if advised of the possibility of such damages.

9.2 Liability Cap

To the maximum extent permitted by law, YouElite’s total cumulative liability for any claim arising out of or relating to these Terms shall not exceed the total amount of Fees you paid to YouElite in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US $100) if no Fees were paid.

 

9.3 Local Consumer Protection Laws

Some jurisdictions do not allow limitations on certain damages. If laws in your jurisdiction prohibit any limitation set forth in this Section, those limits will apply only to the maximum extent permitted by local law.

 

10 DISPUTE RESOLUTION & ARBITRATION

10.1 Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, U.S.A., without giving effect to any conflict-of-laws principles. Your local consumer protections remain applicable where mandated by law.

 

10.2 Binding Arbitration (U.S. Users)

For users residing in or subject to the laws of the United States:

 

  • Any dispute arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by a reputable arbitration provider such as the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
  • The arbitration shall take place in Hollywood, Florida, or at another mutually agreed location.
  • Class Action Waiver: You and YouElite agree that all claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall not consolidate more than one person’s claims.

10.3 International Users

If you reside outside the United States, you agree that:

  • Mandatory local law may entitle you to bring a claim in your local courts; however, if no such rights exist, you agree that any disputes will be resolved exclusively through arbitration in Florida as set forth in Section 10.2.

This choice of law does not deprive you of any consumer protection rights you may have under the mandatory laws of your country of residence.

10.4 Injunctive Relief

Notwithstanding the above, YouElite retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to prevent or stop unauthorized use of the Services, infringement of our intellectual property, or other violations of these Terms that could cause irreparable harm.

 

11 ADDITIONAL PROVISIONS

11.1 Force Majeure

YouElite shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, labor disputes, power outages, utilities failures, accidents, or government actions.

 

11.2 Assignment

You may not assign, transfer, or sublicense any rights or obligations under these Terms without YouElite’s prior written consent. YouElite may assign or transfer its rights and obligations under these Terms in its sole discretion.

 

11.3 Entire Agreement

These Terms, including all referenced policies (End User Conduct & Content Policy, Privacy Policy, Data Processing Addendum, etc.), constitute the entire agreement between you and YouElite concerning the subject matter herein, and supersede all prior or contemporaneous oral or written communications, proposals, and representations.

 

11.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions shall remain in full force and effect.

 

11.5 No Waiver

Any failure by YouElite to enforce a provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.

 

11.6 Survival

Any provisions that by their nature should survive termination of these Terms (including, but not limited to, disclaimers of warranties, limitation of liability, indemnification, and dispute resolution) shall survive any termination.
